Terms of Service

The working rules for using our website and engaging Insxoft for software, automation, ecommerce, and cloud projects.

1. Acceptance of terms

By accessing insxoft.com or engaging Insxoft Technologies ("Insxoft", "we", "us") for services, you agree to these Terms of Service. If you do not agree, please do not use our website or engage our services. These terms apply to all visitors, clients, and others who interact with us.

2. Services

Insxoft provides software development and consultancy services including but not limited to AI automation, Shopware and WooCommerce development, WordPress development, custom application development, ERP workflow design, and cloud architecture. The specific scope, deliverables, timeline, and price for any engagement are defined in a written Statement of Work ("SOW") or project agreement agreed by both parties.

We reserve the right to decline any project at our sole discretion.

3. Proposals & agreements

Any proposal or estimate provided by Insxoft is valid for 30 days from the date of issue unless otherwise stated. A proposal does not constitute a binding commitment until both parties have signed a SOW or equivalent written agreement. Project work begins only after written confirmation and receipt of any agreed deposit.

4. Payment terms

  • Payment schedules are defined in each individual SOW (typically milestone-based or monthly).
  • Invoices are due within 14 days of issue unless otherwise agreed in writing.
  • Late payments accrue interest at 8% per annum above the Bank of England base rate (for UK-contracted work) or as agreed for other jurisdictions.
  • Insxoft reserves the right to suspend work on overdue accounts with 5 business days' written notice.
  • All prices are exclusive of applicable taxes (VAT, GST, etc.) unless explicitly stated otherwise.

5. Intellectual property

5.1 Client materials

All content, data, and materials you provide to us remain your property. You grant Insxoft a limited licence to use them solely for the purpose of delivering your project.

5.2 Deliverables

Upon receipt of full payment for a deliverable, Insxoft assigns to the client all rights, title, and interest in the custom code and assets created specifically for that project, except for:

  • Pre-existing IP: tools, libraries, frameworks, and methodologies owned by Insxoft or third parties prior to the project.
  • Open-source components: subject to their respective licences.
  • Third-party platforms: Shopware, WordPress, and similar platforms remain subject to their own terms.

5.3 Portfolio rights

Unless the client requests otherwise in writing, Insxoft reserves the right to reference the project in its portfolio and marketing materials (without disclosing confidential information).

6. Confidentiality

Both parties agree to keep confidential any proprietary or non-public information shared during the engagement. This obligation survives termination of the agreement for a period of three (3) years. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Warranties & limitation of liability

7.1 Insxoft warranties

We warrant that services will be performed with reasonable skill and care in accordance with the agreed SOW. We will remedy material defects reported within 30 days of delivery at no additional cost.

7.2 Disclaimer

Except as expressly stated, services and the website are provided "as is" without warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose.

7.3 Limitation of liability

To the maximum extent permitted by law, Insxoft's total liability for any claim arising from an engagement shall not exceed the total fees paid by the client in the three (3) months preceding the event giving rise to the claim. Insxoft is not liable for indirect, consequential, or loss-of-profit damages.

8. Termination

  • Either party may terminate an engagement with 14 days' written notice if the other party materially breaches these terms and fails to remedy the breach within that period.
  • If the client terminates without cause, fees for all work completed to date are due within 14 days.
  • If Insxoft terminates without cause, we will refund any pre-paid fees for work not yet started.

9. Website use

You may use insxoft.com for lawful purposes only. You must not:

  • Attempt to gain unauthorised access to any part of our systems.
  • Transmit spam, malware, or harmful content via our contact forms.
  • Reproduce, redistribute, or scrape content from this website without written permission.

We reserve the right to block access to users who violate these conditions.

10. Governing law

For clients contracted through our UK entity, these terms are governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of English courts. For clients contracted through our Pakistan entity, these terms are governed by the laws of Pakistan.

11. Changes to these terms

We may update these Terms of Service at any time. Material changes will be indicated by an updated date at the top of this page. Continued use of our website or services after changes constitutes acceptance. Changes do not retroactively affect active client agreements unless both parties consent in writing.
